1. Agreement and the Service

These Terms of Service are an agreement between you and Wisprs. By accessing or using wisprs.co, the dashboard, the browser extension, the API, or a connected Wisprs tool, you agree to these Terms and our Privacy Policy. If you use Wisprs for a company or another person, you confirm that you have authority to bind them. Wisprs provides AI-assisted audio and video transcription, speech-to-text, text-to-speech, translation, summaries, speaker labels, searchable libraries, meeting capture, sharing, and export. Features, limits, providers, and plan names may change as the service evolves.

2. Accounts and Security

You need an account for most product features. Authentication, sign-in, password recovery, and OAuth may be provided by Clerk. You must provide accurate information, keep access credentials and connected accounts secure, and promptly report suspected compromise. You are responsible for activity under your account unless it resulted from our failure to use reasonable security measures.

3. Your Content and Recording Responsibilities

You keep ownership of audio, video, text, transcripts, and other content you submit or create. You grant Wisprs a limited, non-exclusive licence to host, copy, transmit, transform, and process that content only as needed to operate the requested service, keep it secure, provide support, and comply with law. You must have the rights and permissions needed to upload and process each file, including consent required to record or transcribe other people. You are responsible for checking transcripts, translations, summaries, and generated speech before you publish, share, or use them. Do not use Wisprs for emergency decisions or as a substitute for legal, medical, financial, or other professional advice.

4. Acceptable Use

You may not use Wisprs to break the law, infringe intellectual-property or privacy rights, record people without required consent, upload malware, probe or disrupt our systems, evade limits or billing, reverse engineer the service except where the law permits it, impersonate another person, or use generated outputs to mislead, harass, or harm. We may remove content, limit features, or suspend access when reasonably necessary to prevent abuse, protect users, investigate security issues, or enforce these Terms.

5. Connected AI Hosts and Delegated Access

You may connect Wisprs to a compatible AI host or other tool using OAuth. The host can request only the permissions shown during authorization, but instructions you give it can cause actions within those permissions, including actions that consume quota or create charges. Review scopes and paid actions before approving them. Host availability, model behavior, and the host’s use of data are governed by that provider’s terms and privacy policy. Revoking access stops new Wisprs calls but does not delete conversation data already retained by the host.

6. Plans, Billing, and Refunds

Paid plans are billed through Polar. The checkout and customer portal show the price, billing interval, taxes where applicable, trial terms, renewal date, and cancellation controls. A subscription renews until you cancel it; cancellation normally takes effect at the end of the current paid period. Usage-based or quota-consuming actions may count when they are accepted for processing, even if a provider later fails, subject to the plan rules and any correction we make for a service error. We offer a 30-day money-back guarantee on paid plans: contact tosh@getwisprs.com within 30 days of the relevant purchase for a full refund. This guarantee does not limit non-waivable refund rights under local law. We may change prices or plan limits with reasonable notice; changes do not retroactively alter a period already paid for.

7. Privacy and Data Processing

Our Privacy Policy explains what we collect, why we use it, which providers receive it, international transfers, retention, deletion, and your rights. If you use Wisprs for a business and need a data-processing addendum, security schedule, or a particular regional commitment, contact us before uploading regulated data. Enterprise terms can supplement these Terms when signed by both parties.

8. Service Providers and Availability

Wisprs relies on infrastructure, authentication, billing, email, storage, speech, AI, analytics, and security providers. A provider outage, network failure, maintenance window, or force-majeure event may make a feature unavailable or delay a result. We will use reasonable efforts to restore service, but we do not promise uninterrupted availability or a particular processing time. We may change or replace a provider while preserving the protections described in our Privacy Policy.

9. Intellectual Property

Wisprs owns the software, product design, documentation, trademarks, and service improvements. Subject to these Terms and payment of applicable fees, we give you a limited, revocable, non-transferable right to use the service. You may not copy our product, branding, or non-public interfaces. Feedback you provide may be used to improve Wisprs without payment, provided we do not identify you publicly without permission.

10. Disclaimers

To the maximum extent permitted by law, Wisprs is provided as is and as available. We do not guarantee that the service or AI output will be uninterrupted, error-free, secure against every threat, complete, or accurate, or that it will meet a particular purpose. Speech recognition, speaker identification, translation, summaries, and generated content can contain errors, omissions, bias, or harmful recommendations. You must maintain your own copies of important content and independently review output before relying on it. Nothing in these Terms removes a warranty or right that applicable law does not allow us to exclude.

11. Liability

To the maximum extent permitted by law, Wisprs is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, goodwill, or data. Our total liability for claims arising from the service is limited to the fees you paid to Wisprs for the service in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them, including liability that cannot lawfully be excluded for fraud, wilful misconduct, or personal injury.

12. Suspension, Termination, and Deletion

You may stop using Wisprs at any time. We may suspend or terminate access for a material breach, non-payment, abuse, security risk, legal requirement, or when we discontinue a service, using notice where reasonable. After termination, your right to use the service ends. Our Privacy Policy explains what happens to content and records. To request account deletion, use Account Settings > Data & Privacy > Request account deletion. A request starts a verified review and does not itself erase data immediately; we will confirm scope, billing, and any legally required retention.

13. Governing Law and Contact

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law rules, except that mandatory consumer protections in your country or state continue to apply. Before bringing a dispute, contact us at tosh@getwisprs.com and give us a reasonable opportunity to resolve it. If a court finds part of these Terms unenforceable, the remaining terms continue in effect. We may update these Terms by posting a revised version with a new date and giving additional notice when required.
